Weber Gallagher regularly represents individual and corporate clients in a variety of commercial transactions. We negotiate and draft employment contracts, asset purchase agreements and partnership agreements. Our attorneys also provide advice and counsel on issues pertaining to trademark, copyright and related intellectual property concerns.

Our attorneys represent corporations, LLC's, sole proprietorships, partnerships, individual directors, officers, partners, shareholders and employees in litigation involving breach of fiduciary duty, breach of contract, self dealing, fraud, breach of restrictive covenants, infringement of intellectual property rights, “business divorces” and related business torts, U.C.C. claims, licensing agreements and unfair business practices.

As a corollary to the above services, we consult with and advise our insurance carrier clients with respect to claims and coverage issues involving directors and officers of public and private companies.  We also represent insurers in declaratory judgment coverage litigation and arbitration arising out of directors and officers primary and excess policies.

  • Secured a licensing victory for a highly respected New York construction company following an improper refusal to renew by the New York City Department of Buildings (DOB).

  • Successfully obtained summary judgment for a commercial tenant in a multi-tenant business complex finding no duty for snow removal in the common area parking lot.

  • Successfully obtained summary judgment for non-profit commercial client utilizing the protection offered by the Charitable Immunity Act.

  • Motion granted by the New York Court to dismiss an action against a New Jersey-based hotel, finding that the New Jersey hotel lacked sufficient contacts with New York to confer personal jurisdiction over it in this personal injury action filed by an employee of a third-party event planner.
