Our Business Transactions practice advises closely held businesses, corporations, developers, lenders, and small to midsized companies across industries, both regionally and nationwide. For many of our clients, we also act as outside general counsel, handling the day-to-day legal work that keeps operations moving while positioning the business for growth.
We structure and negotiate asset purchase agreements, shareholder and member transactions, partnership and joint venture agreements, and business entity formations, including corporations, LLCs, LLPs, and partnerships. We also counsel owners and executives on fiduciary duty issues, corporate governance, and business dissolutions.
Our attorneys draft and negotiate the agreements that define business relationships, including employment and executive agreements, non-compete and non-solicitation agreements, and other key commercial contracts. We work closely with management to align these agreements with operational realities and long-term strategy, and coordinate with our Employment team when workplace-related issues intersect with business planning.
We represent lenders, borrowers, landlords, title companies, equipment lessors, and loan servicers in commercial banking and finance matters, including loan documentation, asset-backed finance, debt restructuring, and workouts. We also advise on commercial real estate transactions involving purchase, sale, leasing, development, title issues, and tax appeals.
When counterparties face financial distress, we counsel clients on foreclosure, replevin, collections, and bankruptcy-related matters, coordinating with our Commercial Litigation team when disputes arise to ensure continuity of strategy and representation.
